HISTORY OF INDIAN REITs

The concept of Real Estate Investment Trusts (REITs) in India was first introduced in the mid-2000s, inspired by the success of REITs in global markets like Singapore....

However, the actual regulatory framework was established in 2014 by the Securities and Exchange Board of India (SEBI), providing the foundation for this asset class.

India’s REIT journey formally began in 2019 with the listing of the Embassy Office Parks REIT, marking a milestone as the country’s first publicly listed REIT. This launch allowed Indian investors to access institutional-grade commercial real estate with the simplicity of purchasing shares, fundamentally transforming real estate investment in the country.

Following Embassy REIT's success, three more REITs entered the market: Brookfield India Real Estate Trust, Mindspace Business Parks REIT, and Nexus Select Trust. Together, these REITs have significantly contributed to institutionalizing and expanding the real estate investment landscape in India, managing over 115 million square feet of commercial space as of 2024.

The Indian REIT market, while young, continues to grow rapidly, driven by robust regulatory frameworks, investor interest, and the country’s expanding commercial real estate sector.

  • 1. Eligibility:
    • A REIT must be structured as a trust under the Indian Trusts Act, 1882.
    • It should register with SEBI (Securities and Exchange Board of India) and comply with SEBI's REIT regulations.
  • 2. Sponsors:
    • Sponsors must have a minimum collective net worth of ₹100 crores, with each sponsor contributing at least ₹20 crores.
    • They must hold at least 15% of the REIT’s total units for three years after listing.
    • Sponsors need five years of experience in real estate development or fund management, with at least two completed real estate projects.
  • 3. Managers:
    • Managers must have a net worth of ₹10 crores (for companies) or equivalent tangible assets (for LLPs).
    • They should have at least two key personnel with five years of experience in real estate or fund management.
    • They oversee operations, including leasing, maintenance, and compliance.
  • 4. Trustees:
    • Trustees must be SEBI-registered debenture trustees.
    • They act independently and ensure compliance with REIT regulations.
  • 1. Minimum Investment:
    • Individual investors must make a minimum investment of ₹50,000.
  • 2. Equal Rights:
    • All investors enjoy equal voting rights with no preferential treatment.
    • Investors holding 10% or more units can nominate a director to the REIT manager's board.
  • 3. Regular Returns:
    • REITs are required to distribute at least 90% of their distributable cash flows to investors semi-annually, ensuring consistent returns.
  • 4. Transparency:
    • Net Asset Value (NAV) is disclosed every six months, ensuring clear visibility into REIT performance.
    • Regular updates on asset valuation, audited financials, and cash distributions are mandatory.
  • 1. Asset Allocation:
    • At least 80% of REIT investments must be in rent-generating, completed real estate properties.
    • Up to 20% can be allocated to under-construction properties, debt instruments of real estate companies, or equity in real estate firms.
  • 2. Leverage:
    • Borrowings cannot exceed 49% of the REIT’s total asset value, maintaining financial discipline.
  • 3. Conflict of Interest:
    • Any related-party transactions must be conducted transparently and approved by unit holders.
  • 1. Tax Pass-Through:
    • REITs do not pay taxes on distributed income, but investors are taxed on the income they receive.
  • 2. Market Listing:
    • REIT units must be listed on recognized stock exchanges, offering liquidity and transparency to investors.
