Nexus Select Trust enters Northeast with INR 1,600 crore Guwahati retail and hospitality acquisition

Nexus Select Trust has announced its first investment in Northeast India through a proposed INR 1,600 crore acquisition of Galaxy Infra Creations' mixed-use development in Guwahati, Assam. The project comprises a 5 lakh sq ft shopping mall and a 164-key Hyatt Regency hotel, strengthening the REIT's expansion into high-growth regional markets. The transaction will be funded through a mix of debt and equity instruments and is expected to enhance long-term portfolio value once the development is completed and operational.

Nexus Select Trust has expanded its retail real estate footprint into Northeast India with a proposed acquisition worth around INR 1,600 crore, marking the REIT's entry into one of the country's emerging consumption-driven markets.

The Blackstone-sponsored retail REIT will acquire Galaxy Infra Creations, the developer behind the upcoming Galaxy Complex in Beharbari, Guwahati. The integrated development combines organised retail with hospitality infrastructure, reflecting the growing appeal of regional cities for institutional real estate investors.

At the heart of the project is a Grade-A shopping destination spanning approximately 5 lakh sq ft, which will operate as Nexus Galaxy Mall after the transaction is completed. The development also includes a 164-room Hyatt Regency hotel, creating a mixed-use asset designed to attract both shoppers and business travellers.

The acquisition will be completed after the project's construction is finished and the required regulatory and customary approvals are obtained.

Nexus Select Trust has structured the transaction through a combination of debt financing and equity-linked instruments. Around 40% of the acquisition value is expected to be funded through debt, while the remaining amount will be met through fresh unit issuance and unit swaps, with the final funding mix to be determined at the time of completion.

The REIT said the transaction is expected to strengthen its financial position over the long term by remaining accretive to both net asset value and distribution per unit once the asset becomes operational. It also expects to maintain a loan-to-value ratio below 20% after the acquisition, leaving substantial borrowing capacity for future expansion opportunities.

The Guwahati investment forms part of the company's broader strategy to deepen its presence across eastern India. Nexus Select Trust is building a pipeline of retail assets across multiple cities in the region, including Kolkata, Siliguri, Patna, Bhubaneswar, Ranchi and Jamshedpur, as it seeks to capitalise on rising consumer spending beyond India's largest metropolitan centres.

The REIT expects its East India portfolio to emerge as a significant contributor to its overall performance over time, with the regional platform projected to generate annual net operating income exceeding INR 600 crore, reinforcing its position as one of India's leading organised retail property owners.
